Effective: 21 October 2026
These Maui Terms of Service (“Terms”) are a legal agreement between you and Speechify, Inc., 382 NE 191st St PMB 69469, Miami, Florida 33179-3899, USA (“Speechify,” “we,” “us” or “our”). They govern your access to and use of Maui, including the Maui website, applications, agents, browser, connected-service tools, schedules, automations and related features.
Please read these Terms carefully. By clicking to accept them, creating an Account, purchasing a plan or Credits, or accessing or using Maui, you agree to these Terms. If you use Maui for an organization, you confirm that you have authority to bind that organization, and “you” includes that organization. If you do not agree, do not use Maui.
These Terms apply subject to the mandatory laws of the country, state or province in which you live. Nothing in these Terms excludes a consumer right, legal guarantee or remedy that cannot lawfully be excluded or limited.
MAUI USES ARTIFICIAL INTELLIGENCE AND CAN TAKE ACTIONS THROUGH WEBSITES AND CONNECTED ACCOUNTS. DEPENDING ON YOUR SETTINGS AND INSTRUCTIONS, MAUI MAY SEND COMMUNICATIONS, CHANGE OR DELETE DATA, ACCEPT THIRD-PARTY TERMS, CREATE RECURRING TASKS, OR TAKE OTHER ACTIONS WITHOUT ASKING AGAIN. APPROVAL AND SAFETY CONTROLS REDUCE RISK BUT MAY NOT IDENTIFY, HOLD OR STOP EVERY CONSEQUENTIAL ACTION. CHOOSE PERMISSIONS APPROPRIATE TO THE TASK, SUPERVISE HIGH-CONSEQUENCE WORK AND VERIFY RESULTS.
PAID MAUI SUBSCRIPTIONS MAY RENEW AUTOMATICALLY UNTIL CANCELLED. THE PRICE, BILLING PERIOD, RENEWAL TERMS, INCLUDED USAGE AND CANCELLATION METHOD APPLICABLE TO YOUR PURCHASE WILL BE SHOWN BEFORE YOU SUBSCRIBE.
IF YOU ARE A CONSUMER IN THE UNITED STATES, SECTION 31 CONTAINS AN AGREEMENT TO RESOLVE MOST DISPUTES BY BINDING INDIVIDUAL ARBITRATION, A CLASS-ACTION WAIVER AND A 30-DAY RIGHT TO OPT OUT. IF YOU ARE A BUSINESS USER, SECTION 31 CONTAINS A CLASS AND REPRESENTATIVE-ACTION WAIVER AND A JURY-TRIAL WAIVER. SECTIONS 28 TO 30 DISCLAIM WARRANTIES, LIMIT SPEECHIFY’S LIABILITY AND, WHERE PERMITTED, REQUIRE YOU TO INDEMNIFY SPEECHIFY.
1 Scope and relationship with other terms
Maui is a standalone Speechify service offered through usemaui.ai and any Maui application or other access point that links to these Terms. A Speechify Reader account or subscription does not by itself create or control a Maui Account. Deleting a Reader or other Speechify account does not delete a separate Maui Account unless Speechify expressly confirms otherwise.
These Terms are the complete standard terms for Maui. General Speechify terms, Reader terms or terms for another Speechify product do not apply to Maui merely because Speechify provides both services. A separate order form, enterprise agreement, data processing addendum or feature-specific notice applies only if it expressly says that it governs Maui. If there is a conflict, the more specific signed agreement or Order controls for the subject it addresses.
The Maui Privacy Policy explains how Speechify processes personal data in connection with Maui. A third-party service that you connect to or transact with remains governed by its own terms and privacy practices.
Maui or particular features may not be available in every country, region, language, device or account. Speechify may restrict a feature where necessary for legal, safety, security, contractual or technical reasons, subject to the consumer remedies described in these Terms.
2 Definitions
Account means the individual account through which you access Maui.
Agent means an AI-based Maui agent that responds to instructions, uses tools or performs tasks.
Agentic Action means an action Maui takes or attempts outside a conversational response, including browsing a website; reading, creating, sending, publishing, editing, moving or deleting data; using a Connected Service; accepting third-party terms; submitting a form; placing an order; starting a subscription; using code or a cloud computer; or creating a Schedule or Automation.
Automation means a task triggered by an event, such as receipt of a message or a change in a Connected Service.
Business User means an organization or a person using Maui primarily for commercial, professional, trade or employment-related purposes.
Connected Service means a third-party account, application, website, tool server, API, data source or service that you connect to, access through or instruct Maui to use.
Consumer means an individual using Maui primarily for personal, family or household purposes.
Credits means usage units allocated to an Account or purchased separately for Maui. Credits are not money, stored value or a bank deposit.
Input means an instruction, message, file, audio, image, credential provided through a designated secure flow, Connected Service content, browser content or other material submitted or made available to Maui.
Order means the checkout disclosure, order form, purchase confirmation or other purchasing document governing a Maui plan or purchase.
Output means text, an action summary, recommendation, file, image, code or other content generated or returned by Maui.
Schedule means a task configured to run once or repeatedly at a specified time.
User Content means Inputs and Outputs, including content that you submit or authorize Maui to access through a Connected Service or browser, but excluding Speechify technology and third-party materials that Speechify makes available independently of your Inputs.
3 Eligibility and intended users
You must be at least 18 years old and legally capable of entering into these Terms. Maui is not directed to children. You may not permit a person under 18 to create or use an Account.
You may use Maui only where its use is lawful. You represent that you are not barred from receiving the service under applicable law and are not located in, ordinarily resident in, or acting on behalf of a person or entity subject to sanctions that prohibit the service.
Maui is not currently offered to users located in the European Economic Area or the United Kingdom. Speechify may make Maui available in those regions later under updated terms.
If you use Maui for an organization, you represent that you are authorized to use the organization’s accounts, systems, data, payment methods and other resources and to give Maui the permissions and instructions you provide. Maui currently provides individual Accounts unless an Order expressly states otherwise. An enterprise inquiry or waitlist submission does not create an enterprise account, workspace, administrator role, service commitment or data-processing arrangement.
4 Account creation and security
You must provide accurate account information and keep it current. You are responsible for protecting access to your email account, sign-in provider, device and Maui session. Do not share your Account or allow another person to use it as you. Notify Speechify promptly at support@usemaui.ai if you believe your Account or a Connected Service has been accessed without authorization.
You are responsible for all activity initiated through your Account, including activity by any person you allow to use it and any Agentic Action taken under your permissions, except to the extent caused by Speechify’s fraud or willful misconduct or as Section 29 otherwise requires for your jurisdiction. Speechify may require authentication or additional information before acting on an account, billing, privacy or security request.
Signing out ends the current Maui session but does not delete Account data, cancel a subscription, disconnect Connected Services, or necessarily stop a Schedule, Automation or task already running. Use the task-specific stop, pause, delete, disconnect or cancellation control as applicable.
5 Plans, purchases, Credits and billing
Orders and checkout
Maui may offer free access, recurring subscriptions and separately purchased Credits. Before you complete a purchase, the applicable Order will identify the total price, currency, billing period, renewal terms, included Credits or usage, material feature restrictions and cancellation method. Your purchase is not dependent on Speechify delivering a future feature unless a signed agreement expressly states otherwise.
The total price and any applicable taxes or additional charges will be disclosed before a Consumer purchase. Speechify may calculate, collect and remit taxes where required by law.
Subscriptions and automatic renewal
If the Order states that a subscription renews automatically, it renews at the end of each billing period until cancelled. Speechify or its billing provider will charge the payment method used for the purchase at the beginning of each new billing period.
Before enrolling you in an automatically renewing subscription, Speechify will clearly disclose the material terms of the offer and obtain the consent required by applicable law. Speechify will provide a confirmation that you can retain and that contains or links to the subscription terms and cancellation instructions. Speechify will provide renewal reminders and price-change notices where and when required by applicable law.
If the recurring price increases, Speechify will provide advance notice required by applicable law. The increased price will apply no earlier than the renewal identified in the notice. You may cancel before that renewal if you do not agree to the change.
Payment methods and failed payments
You authorize Speechify and its payment providers to charge the payment method identified in the Order for amounts due. You must keep billing information current. If a payment fails, Speechify may retry the charge, request another payment method, restrict paid functionality or suspend paid access after any notice or cure period required by law.
If you purchase through Apple or another app store, that store is the merchant of record for the purchase and its billing and refund procedures also apply.
Credits and usage
Maui may consume Credits based on the models, tools, browser time, connected services, compute or other resources used for a task. Credit estimates, where shown, are estimates and are not a guaranteed maximum. A task may consume more or fewer Credits than expected, and a running task may finish slightly after an estimated balance is reached.
If your Credits run out while a task is running, the task stops and may be left incomplete, including actions that were only partly carried out. Check the state of any affected Connected Service before relying on the result.
The Order or in-product purchase screen will describe the Credits included with a plan or top-up. Unless the Order states otherwise, recurring plan Credits reset at the beginning of each billing period and do not roll over; one-time promotional or purchased top-up Credits do not expire while the Account remains active; and Credits have no cash value, may not be sold or transferred, and are not refundable except where applicable law requires a refund.
Cancellation of a subscription does not itself delete remaining Credits or Account data. Paid-plan features or the ability to buy or use particular Credits may end when the paid period ends.
6 Cancellation, refunds and consumer rights
Cancellation
You may cancel a self-service subscription through the Manage Subscription control in Maui or through the cancellation method identified in the applicable Order or purchase confirmation. If you purchased through an app store, cancel through that store. Deleting an application, signing out, stopping use, deleting a chat or deleting another Speechify account does not cancel a recurring Maui subscription.
Cancellation stops future renewals and normally takes effect at the end of the paid billing period. You may continue using the paid plan until then unless a refund, withdrawal or other remedy applies. Speechify will provide confirmation of cancellation on a durable medium where required by applicable law.
Speechify will provide a cancellation mechanism and any renewal, trial-conversion or price-change notice required by applicable law. Speechify may authenticate you and explain the consequences of cancellation, but will not use that process to obstruct or unreasonably delay a cancellation.
General refund rule
Except where the Order or a published Maui refund policy provides otherwise, payments are generally non-refundable after the applicable withdrawal or cooling-off period has expired. Cancellation normally stops future renewal and does not generate a prorated refund for unused time or Credits.
This rule does not restrict a statutory withdrawal or cooling-off right, a remedy for an unauthorized or incorrectly disclosed charge, a legal guarantee or remedy for a non-conforming digital service, a refund required because Speechify materially failed to provide the purchased service, or another right that cannot lawfully be waived.
To request a refund or exercise a statutory Consumer right, contact support@usemaui.ai or legal@speechify.com and provide the email address associated with the Account and enough information to identify the purchase. Purchases made through an app store may need to be handled by that store.
Brazilian Consumer right of withdrawal
If you are a Consumer in Brazil and purchase Maui online, you may withdraw from the purchase within seven calendar days after the contract is concluded, or within any longer period required by applicable law, without giving a reason or paying a cancellation penalty. Exercise this right through the available cancellation method or by contacting legal@speechify.com. Speechify will acknowledge the request and provide the refund required by law. Nothing in these Terms limits rights under the Brazilian Consumer Defense Code.
Canadian Consumer rights
If you are a Consumer in Canada, applicable federal, provincial and territorial consumer-protection laws continue to apply. These Terms do not exclude a statutory condition, warranty, legal guarantee, cancellation right or remedy that cannot lawfully be excluded. Depending on your province or territory, you may have additional rights if required information was not disclosed before purchase, you were not given an opportunity to accept or correct the agreement, or a compliant copy was not provided.
United States subscription rights
If you are a Consumer in the United States, Speechify will clearly disclose the material terms of an online automatically renewing subscription before obtaining billing information, obtain your express informed consent before charging you and provide a simple mechanism for stopping recurring charges. Applicable state law may require additional confirmation, reminder, cancellation or price-change rights, which Speechify will provide where required.
There is no general federal 14-day withdrawal right for ordinary online Maui subscriptions. This does not affect rights arising from an unauthorized charge, a misleading or incomplete offer, a published Maui refund policy or applicable state law.
7 What Maui does
Maui is an AI-powered service that can answer questions, create materials, use tools, browse websites, work in a cloud computing environment, access Connected Services, and perform or schedule Agentic Actions. Available functions may vary by device, plan, Account, location and configuration.
Maui may choose intermediate steps, tools, models and providers; create sub-tasks; reinterpret or refine a task; and change its approach while working. A displayed plan, activity label or explanation is informational and may not capture every step. Unless Maui expressly asks and you approve a broader instruction, your most recent instruction and the permissions you set define the task’s intended scope.
A technical status such as completed means that processing stopped without a recognized technical error. It does not mean that Maui independently verified the result, achieved your business objective, or confirmed that a third party performed as expected.
8 Your instructions, authority and responsibility
You instruct Maui and choose the Accounts, tools, permissions and Connected Services it may use. You are responsible for ensuring that your instructions are lawful, sufficiently clear for the risk involved and within the authority you possess.
You authorize Speechify to use Maui to carry out the Agentic Actions you request or permit through your instructions, settings and approvals. This is limited technical authority to operate the service. It is not a general appointment of Maui or Speechify as your legal agent, fiduciary, broker, merchant, payment intermediary, financial adviser, lawyer, accountant, healthcare provider or other professional representative.
An Agentic Action may create a binding commitment, transaction, publication or communication for you or an organization you represent. As between you and Speechify, you are responsible for every Agentic Action taken under your instructions, permissions, approvals, approval level, custom rules, Schedules or Automations, and for any resulting commitment, transaction, publication or communication, except to the extent caused by Speechify’s fraud or willful misconduct or as Section 29 otherwise requires for your jurisdiction.
You must use a level of human supervision proportionate to the task. Review high-consequence instructions before they run, monitor tasks that can spend money or affect third parties, and verify Outputs and completed actions before relying on them.
9 Permissions, approvals and safety controls
Maui may offer approval levels such as Always ask, Allow low-risk actions and Allow all actions, together with custom rules. The available labels and controls may change, but their in-product descriptions form part of the permission you give for the relevant Agent.
Always ask is intended to hold edits and external actions for approval. Allow low-risk actions permits reads and actions that Maui classifies as routine to proceed without approval. Allow all actions is an elevated-risk mode that may permit Maui to read, edit, send, publish and act without asking first, except where Maui identifies an action as subject to a mandatory pause.
APPROVAL AND SAFETY CHECKS USE AUTOMATED RULES AND MODEL JUDGMENTS. THEY MAY MISCLASSIFY AN ACTION, FAIL TO RECOGNIZE A PURCHASE OR COMMITMENT, OMIT RELEVANT DETAILS FROM AN APPROVAL CARD, OR FAIL TO RECORD AN ACTION. DO NOT RELY ON THEM AS A GUARANTEE THAT MAUI WILL ASK BEFORE EVERY CONSEQUENTIAL STEP.
Maui is designed to ask before certain recognized deletion, billing, payment, credential, purchase or irreversible browser steps. This protection depends on the route and information available to Maui. An action through a Connected Service may follow the selected approval level if Maui does not identify it as protected.
Unless an approval card expressly states a narrower scope, approving or allowing an action may permit the same Agent to take related actions involving the same Connected Service during the current task or turn, until your next message or for up to one hour. Related actions may involve different content, recipients or records. A purchase confirmation authorizes only the purchase identified in that confirmation.
A pending approval may remain available until answered or until the underlying task ends. Review current permissions and pending cards before resuming a task. Changing a permission does not necessarily reverse an action already submitted or stop an external service from completing it.
10 Schedules, Automations and unattended work
A Schedule, Automation or other background task may run while you are away, the application is closed or you are signed out. It may consume Credits, read new Connected Service content and take actions allowed by the relevant Agent’s permissions and standing rules.
You are responsible for reviewing active Schedules, Automations and standing permissions and for pausing, deleting or disabling them when no longer appropriate. A Schedule or Automation that requires an approval may pause, fail, retry or post a notice rather than complete. Lack of a notification does not mean that no action occurred.
Stopping a chat response, signing out, retiring an Agent, disconnecting one service or cancelling a subscription may not stop every separate browser task, triggered run or action already in progress. Use each available task-specific control and verify the state of the relevant Connected Service.
11 Third-party purchases and commitments
Maui may help you browse for, order or subscribe to goods or services from third parties. Speechify is not the seller, merchant, reseller, marketplace, payment intermediary or contracting party for a third-party transaction. The merchant’s terms, prices, availability, taxes, delivery, returns, cancellations, warranties and dispute procedures apply.
Maui may use a payment method already stored with a merchant after you approve a recognized purchase. Maui does not independently verify that the merchant, item, quantity, price, currency, taxes, shipping terms, recurring charge or payment method matches your intent. Review the live merchant page and applicable terms rather than relying only on Maui’s summary or approval card.
Maui currently provides no general spending cap, quantity cap, duplicate-transaction guarantee or automatic reversal of a third-party purchase or commitment. Set limits available in the merchant, advertising, banking or payment account, and do not use Allow all actions for tasks where an unintended action could cause material loss.
After an external action is completed, Maui may be unable to cancel, recall or reverse it. You must contact the merchant, platform, recipient or payment provider for a refund, return, cancellation, correction or chargeback. Nothing in this section limits liability Speechify has under mandatory law for its own acts or omissions.
12 Communications, publication and third parties
Maui may draft or send emails, messages, posts, invitations, files or other communications from your Connected Services. A communication may appear to come directly from you or your organization and may not identify Maui or AI involvement.
Maui is designed to identify itself as an AI assistant acting on your behalf at the start of any phone call it places or joins for you, and to answer truthfully if a person it is communicating with asks whether they are dealing with an AI. Maui is designed not to claim to be you or any other human. Do not instruct Maui to remove or alter these disclosures or to represent that it is a human.
If you use Maui to place or answer phone calls, you must provide your full name or, if you are calling for a business, the business’s registered legal name, together with a working callback number that reaches you or your business. Maui is designed to state that name and number at the start of outbound calls. The information must be accurate, and you must keep it current.
Calls may be recorded and transcribed. When recording is on, Maui is designed to announce at the start of each call that the call may be recorded. You are responsible for complying with call-recording, notice and consent laws that apply to the calls you direct, including laws that require the consent of everyone on the call.
You may use Maui to call only numbers you are permitted to call for that purpose under applicable law. Before Maui calls a mobile or other non-landline number, you must confirm that the person gave you or your business that number and expects your call. Do not use Maui to call a list of people with the same or a similar message, or to make telemarketing, sales, fundraising or political calls to a mobile phone or residential line without the prior express written consent and other steps applicable law requires.
Speechify may limit calls by destination, line type, time of day, frequency or volume; may require your approval before a call is placed; and may end, block or refuse a call to protect the people called, Speechify or its telephone carriers. If a person asks Maui not to call again, Speechify may block further calls to that number from your Account.
You must ensure that each communication has a lawful basis and complies with applicable anti-spam, marketing, telemarketing, privacy, publicity, recording, employment and consumer-protection laws. You are responsible for required notices, consents, unsubscribe mechanisms, suppression lists, recordkeeping and human review. Do not use Maui for unsolicited bulk communications, deceptive impersonation, harassment or manipulation.
Where applicable law requires disclosure that a person is interacting with AI or that content was generated or manipulated by AI, you must provide that disclosure unless Speechify expressly provides it as part of the feature. This includes when you use Maui to carry on conversations or operate an account without reviewing each communication, or to conduct sales, advertising, outreach or customer service. Speechify remains responsible for disclosures that applicable law specifically requires Speechify, as provider of Maui, to make.
If you use Maui to communicate with, publish to or produce Outputs for use by people located in the European Economic Area or the United Kingdom, you are responsible for determining that your use complies with the laws that apply to it, including the EU Artificial Intelligence Act and applicable data-protection, marketing and consumer-protection laws, and for providing any notice, disclosure or label those laws require of you. You must not remove, alter or obscure any watermark, metadata or other marking that identifies Output as AI-generated.
A communication already delivered may not be retractable. Editing or deleting it at the source may not remove copies already received, forwarded, indexed or captured by others.
13 Connected Services, browser, credentials and files
Connected Services
You may connect only an account or service you are authorized to access and automate. You must comply with the Connected Service’s terms, permissions, access restrictions and applicable law. Do not use Maui to circumvent technical controls, access a private system without authorization, defeat a CAPTCHA, scrape content where access is prohibited, or interfere with a service.
Connected Services may change, suspend or revoke access at any time. Speechify does not control their availability, accuracy, security or conduct. Disconnecting a service stops future access through the disconnected connection but may not delete information already copied into chats, files, memory, action records, logs or analytics. It may not end an active browser session or revoke access at the third-party provider. You may need to revoke Maui in the provider’s own settings and separately delete saved browser access or imported information.
Cloud browser and credentials
Maui’s browser operates in a remote cloud environment, not on your device. Website content, page text, screenshots, cookies, session data and task instructions may be processed by Speechify and its browser and AI providers. The browser may remain signed in to a website if you choose to save access.
Use takeover or another designated secure entry flow for passwords, payment-card details and authentication codes. Do not place credentials or full payment-card information in an ordinary Maui chat, file, prompt or custom rule. Maui may be unable to prevent sensitive information displayed on a page from appearing in a screenshot, model request, log or task record.
Restrictions on saving access for banking, healthcare or government sites are risk-reduction measures based on site recognition and may not identify every sensitive site. Do not use Maui to initiate a financial transfer, access a highly sensitive account, or perform another regulated or high-risk action unless Speechify expressly supports that use under suitable terms and controls.
Third-party content and files
Websites, emails, messages, files and tool results may contain inaccurate content, malware or instructions designed to manipulate an AI system. Maui may not detect prompt injection, unsafe downloads or malicious code. Use appropriate security software, review downloaded files and independently verify instructions obtained from third parties.
14 Cloud computing and code execution
Maui may use a cloud workspace to run commands, process files and create deliverables. Code and commands may be generated by AI and may contain errors or unsafe behavior. Do not use Maui to deploy to production, change access controls, handle secrets, run untrusted software or affect critical systems without qualified human review and appropriate backups, testing and approval.
Working files, tool results and workspace snapshots may remain available for later work or operational continuity as described in the Maui Privacy Policy. Deleting a chat or visible file does not necessarily remove every copy from a workspace, cache, log, backup or provider system. The applicable retention and deletion limitations are described in the Maui Privacy Policy.
15 User Content, rights and license
As between you and Speechify, you retain the rights you have in User Content. You must have all rights, permissions, consents and lawful bases needed to provide each Input, allow the requested processing, instruct each Agentic Action, and use or distribute each Output.
You grant Speechify a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, display, modify, create derivative works of and otherwise process User Content to operate, provide, maintain, secure, troubleshoot, support, analyze and improve Maui; to develop, train, fine-tune, evaluate and improve AI models and other products and services of Speechify and its affiliates, subject to the exceptions in the Maui Privacy Policy; to carry out your instructions; to enforce these Terms; and to comply with law. This license allows Speechify’s affiliates and service providers to act on Speechify’s behalf for those purposes. The Maui Privacy Policy provides additional information about personal data, analytics, providers and retention.
Speechify may use User Content and service data to develop, train, fine-tune, evaluate and improve AI models and other products and services, as described in, and subject to the exceptions in, the Maui Privacy Policy. Google user data and other information subject to provider-specific purpose restrictions will be processed only for the purposes described in the Maui Privacy Policy and permitted by the applicable provider requirements.
The license lasts for as long as reasonably necessary for those purposes, subject to your deletion rights, operational retention, legal obligations and applicable law. De-identified or aggregated information that no longer reasonably identifies you may be retained and used for legitimate business purposes. To the extent permitted by law, deleting User Content does not require Speechify to retrain, delete or alter an AI model already trained using it.
Speechify does not claim ownership of your Inputs or Outputs. An Output may not qualify for intellectual-property protection, and Speechify does not promise that you will own exclusive rights in it or that substantially similar material will not be generated for others.
16 AI Outputs, actions and professional reliance
Maui and its Outputs use artificial intelligence. They may be inaccurate, incomplete, outdated, biased, offensive, non-unique or inconsistent. Maui may misunderstand an instruction, fail to use relevant information, fabricate a fact or source, misreport whether an action succeeded, or complete a technical step without achieving your intended result.
You must independently review and verify material Outputs, sources and actions. Do not rely on Maui as the sole basis for legal, medical, financial, tax, accounting, employment, credit, housing, insurance, education, safety, security or other professional or high-impact advice or decisions. Obtain review from an appropriately qualified person where the circumstances require it.
Maui is not an emergency service and must not be used where delay, error or unavailability could reasonably cause death, personal injury, significant property damage or a violation of another person’s rights.
Do not use Maui to make or implement a decision that produces legal or similarly significant effects for another person in employment, credit, housing, insurance, healthcare, education, access to essential services or another regulated area unless you have confirmed that the use is lawful, provided required notices and explanations, assessed bias and accuracy, and ensured meaningful qualified human review and any required appeal or correction process.
17 Privacy, providers and business data
The Maui Privacy Policy explains the categories of personal data Maui processes, purposes, recipients, international transfers, retention and available rights. Maui may process prompts, replies, Connected Service content, browser page data and screenshots, files, action information, account identifiers, usage, diagnostics and analytics through Speechify systems and third-party providers, including AI-model, cloud, browser, connection, authentication, analytics and billing providers.
Speechify may change models and service providers as Maui evolves. Unless an Order expressly provides otherwise, you cannot select, exclude or require a particular model, provider or processing region. Speechify will provide notice or obtain consent where applicable law requires it for a material change.
Except for limitations expressly stated in the Maui Privacy Policy, including those applicable to Google user data, or expressly agreed in a signed Order or data processing addendum, Maui does not promise zero data retention, a particular provider training setting, a particular processing region or exclusion from service improvement or model training. The Maui Privacy Policy describes Speechify’s and its providers’ current data uses, settings and retention practices.
Speechify personnel and contractors will not view User Content unless: (a) you have given your affirmative agreement for Speechify to view the specific chat, file, message or other data, for example when you request support or submit feedback that includes it; (b) viewing it is necessary for security purposes, including investigating a bug, abuse or a security incident; (c) viewing it is necessary to comply with applicable law or valid legal process; (d) the data, including any derivations of it, has been aggregated and is used for Speechify’s internal operations; or (e) viewing it is part of reviewing, labeling or evaluating data to develop, train and improve AI models and Maui, by personnel and contractors bound by confidentiality obligations. Paragraph (e) does not apply to Google user data or to any other content excluded from model training under the Maui Privacy Policy, which may be viewed only under paragraphs (a) to (d). Automated processing of User Content by Maui, Speechify systems and service providers to provide the service is not viewing by personnel for purposes of this paragraph.
If a Business User submits personal data on behalf of an organization and applicable law requires a processor agreement, the Business User must ensure that an applicable data processing addendum is in effect before submitting that data. A DPA applies only where Speechify expressly agrees to it for Maui. These Consumer-facing Terms do not by themselves appoint Speechify as a processor for every business use.
18 Memory, records, deletion and disconnection
Maui may create memories, summaries, task notes, action records and other derived information from chats, files and Connected Services to personalize later interactions, operate tasks, provide continuity, protect the service and troubleshoot problems. Available controls may differ by platform and may not permit you to view, edit, export or disable every category.
A control labeled delete, remove or retire may remove an item from the active interface without erasing every underlying record. In particular, a deleted chat may remain in messages, summaries, screenshots, memories, action records or logs; a deleted memory may remain in version history; and deleting or retiring an Agent may not delete its chats or related records. Unless Maui expressly confirms permanent deletion, you should not treat removal from the interface as complete erasure.
Maui does not currently provide a single self-service control that views, exports, disables or permanently deletes every memory, derived record or category of Account data. Those records may need to be identified in an Account-deletion or privacy-right request.
Disconnecting a Connected Service does not necessarily delete previously collected content, memories derived from it, browser cookies, saved logins, active tasks or access granted at the provider. Follow the provider’s revocation instructions and remove related Maui data and browser access separately where necessary.
A Maui Account is separate from a Reader or other Speechify account. A request concerning another Speechify service may not reach Maui unless you identify the Maui Account and request Maui deletion. To request access, correction, deletion or another privacy right, use the method in the Maui Privacy Policy or contact legal@speechify.com. Account deletion and privacy requests remain subject to the retention periods, provider-held copies, technical limitations and legal exceptions described in the Maui Privacy Policy.
19 Sensitive and regulated information
Do not submit highly sensitive or regulated information unless it is necessary for a lawful supported task and you have assessed the risks and required safeguards. In particular, do not place passwords, authentication secrets, full payment-card data, government identification numbers, precise financial-account credentials, medical records, biometric identifiers or similarly sensitive data in ordinary prompts, chats, files or custom rules.
Maui is not designed to receive protected health information subject to HIPAA on behalf of a covered entity or business associate, cardholder data requiring Speechify to act as a PCI DSS service provider, or other regulated data requiring a special written agreement, unless Speechify has entered into that agreement with you. Use of a secure third-party entry page during browser takeover does not authorize you to store the same information in Maui.
The general Maui service is not intended to maintain patient records or similarly regulated records. Such uses require a separate written agreement with Speechify, including a data processing addendum and, where applicable, a business associate agreement.
If you provide information about customers, employees, contacts or other people, you must have a lawful basis and provide any required privacy notice. Do not use Maui to obtain, combine or use personal data in a way that is unlawful, discriminatory, unfair or outside the reasonable expectations of the affected person.
20 Acceptable use
You may not use Maui, or assist another person to use Maui, to:
- violate law, regulation, sanctions, court order, contractual restriction or another person’s rights;
- defraud, deceive, impersonate or misrepresent a person, organization, product, endorsement, event or AI-generated communication;
- conduct phishing, credential theft, malware distribution, unauthorized security testing, intrusion, evasion or access to a system or account without permission;
- buy, sell, promote or facilitate illegal goods or services, regulated goods without required authorization, exploitation, trafficking or unlawful sexual content;
- initiate money transfers, securities trades, lending, gambling or other regulated financial activity unless the use is expressly supported and all required authorizations and human controls are in place;
- make or implement a high-impact decision about another person without the safeguards required by Section 16;
- conduct unlawful surveillance, stalking, doxxing, biometric identification, sensitive-trait inference or collection of personal data without a lawful basis;
- send unsolicited bulk messages, evade opt-outs, manipulate political participation, suppress voting or engage in unlawful targeted political advertising;
- place robocalls or call campaigns, make calls that require consent you have not obtained, or disable, alter or evade Maui’s call identification, recording notice or do-not-call controls;
- remove, alter or obscure a watermark, metadata or other marking that identifies Output as AI-generated;
- infringe copyright, trademark, privacy, publicity, confidentiality or other rights, or remove ownership or provenance notices;
- circumvent a Connected Service’s security, usage limit, robot exclusion, access restriction, CAPTCHA or other protective measure;
- interfere with Maui, probe non-public systems, overload infrastructure, resell access without permission or reverse engineer the service except where applicable law permits it; or
- use Maui in a manner that creates a material risk of harm to a person, property, critical infrastructure, public safety or Speechify’s service.
You must comply with any additional acceptable-use rules or feature-specific safety notice presented in Maui, provided that a material restriction on a paid Consumer service will be handled in accordance with applicable law.
21 Review, enforcement and appeals
Speechify may use automated systems and, where appropriate and lawful, human review to detect abuse, protect Maui, investigate a complaint and enforce these Terms. Speechify may refuse an instruction, hold an action, remove or restrict content, disable a connection, limit functionality, suspend an Account or terminate access where reasonably necessary for safety, security, legal compliance or enforcement.
Automated controls can be wrong. If you believe an Account restriction or refusal was an error, contact support@usemaui.ai with enough information to identify the Account and issue. Speechify will provide a review or appeal where required by applicable law. An appeal does not require Speechify to execute an unsafe or unlawful action.
An affected third party may report an unauthorized communication, rights violation, impersonation, security issue or other misuse to legal@speechify.com. For an urgent unauthorized purchase or transfer, contact the relevant merchant, financial institution or payment provider immediately because Speechify may be unable to reverse it.
22 Availability, beta features and service changes
Maui may be offered as a beta, preview, invitation-only or experimental service. Beta features may be incomplete, change frequently and contain more errors than generally available services. Do not use them for critical or irreversible work.
Speechify may add, remove, rename, bundle, restrict or change models, tools, Connected Services and other features. Speechify will not use this clause to avoid providing a paid service materially as offered. If a change materially reduces a prepaid Consumer service, Speechify will provide any notice, cancellation, price reduction or refund required by applicable law.
Speechify does not guarantee uninterrupted or error-free availability. Maintenance, provider outages, security events, legal restrictions, credit exhaustion and third-party changes may delay or stop tasks. Speechify’s only availability, performance and support commitments are those expressly stated in an applicable signed Order or required by mandatory law.
23 Suspension, termination and effects
You may stop using Maui at any time and cancel a subscription as described in Section 6. Account deletion is separate from subscription cancellation. A deletion request does not necessarily cancel an external app-store subscription, and cancellation does not delete Account data.
Speechify may suspend or terminate access if you materially breach these Terms, create a safety or security risk, fail to pay amounts due, use Maui unlawfully, or if continued service is prohibited. Where appropriate and legally required, Speechify will provide notice and a reasonable opportunity to cure before termination. Immediate action may be taken for urgent risk, fraud, serious abuse or legal necessity.
On termination, your right to use Maui ends, but provisions that by their nature should survive will remain in effect, including payment obligations accrued before termination, intellectual-property rights, disclaimers, liability limits, indemnity and dispute terms. Speechify will handle Account data according to the Maui Privacy Policy and applicable law.
24 Speechify technology and access license
Speechify and its licensors own Maui, including its software, interfaces, designs, models, prompts, workflows, agent templates, tools, documentation and related intellectual property. Subject to these Terms, Speechify grants you a limited, personal, revocable, non-exclusive, non-transferable right to access and use Maui for your own lawful purposes during the term of your Account.
Except where applicable law permits it, you may not copy, sell, sublicense, distribute, reverse engineer, extract, scrape or create a competing service from Maui or its non-public technology. No rights are granted by implication.
25 Feedback
If you choose to provide feedback, suggestions or a report about Maui, you grant Speechify a worldwide, perpetual, irrevocable, royalty-free license to use it without restriction or compensation, provided that Speechify will handle personal data contained in feedback according to the Maui Privacy Policy. Do not submit feedback that you are not authorized to provide.
26 Copyright complaints
Speechify respects intellectual-property rights. If you believe material available through Maui infringes copyright, send a notice to the Copyright Agent identified below. Your notice should include:
- your physical or electronic signature;
- identification of the copyrighted work claimed to have been infringed;
- identification and location of the allegedly infringing material sufficient for Speechify to find it;
- your contact information;
- a statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent or law; and
- a statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act for the owner.
Copyright Agent: Speechify, Inc., Attn: Copyright Agent, 382 NE 191st St PMB 69469, Miami, Florida 33179-3899, USA; legal@speechify.com.
If material you provided was removed or disabled and you believe this was the result of a mistake or misidentification, you may send a counter-notice to the Copyright Agent. Your counter-notice should include:
- your physical or electronic signature;
- identification of the material that was removed or disabled and where it appeared before it was removed or disabled;
- a statement, under penalty of perjury, that you have a good-faith belief that the material was removed or disabled as a result of mistake or misidentification;
- your name, address and telephone number; and
- a statement that you consent to the jurisdiction of the federal district court for the judicial district in which your address is located or, if your address is outside the United States, any judicial district in which Speechify may be found, and that you will accept service of process from the person who sent the original notice or that person’s agent.
Speechify may restore the material unless the person who sent the original notice informs Speechify that it has filed an action seeking a court order to restrain the alleged infringement.
Speechify may remove or disable access to material and may terminate repeat infringers in appropriate circumstances. A person who knowingly makes a material misrepresentation in a copyright notice or counter-notice may be liable under applicable law.
27 Export controls and sanctions
You must comply with United States and other applicable export-control, trade and sanctions laws. You may not access or use Maui in violation of those laws or for a prohibited end use or prohibited party. You represent that you are not subject to a restriction that prevents Speechify from providing Maui to you.
28 Disclaimers
Nothing in this section excludes a statutory warranty, legal guarantee or duty that cannot lawfully be excluded, including mandatory Consumer rights. The jurisdiction-specific subsections of Section 29 also apply to this Section 28.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MAUI IS PROVIDED “AS IS” AND “AS AVAILABLE.” SPEECHIFY DISCLAIMS ALL EXPRESS, IMPLIED AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT AND THAT MAUI WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SPEECHIFY DOES NOT WARRANT THAT AN OUTPUT, RECOMMENDATION, APPROVAL CHECK, STATUS, ACTION, TRANSACTION, CONNECTED SERVICE, WEBSITE, FILE OR THIRD-PARTY PRODUCT IS ACCURATE, COMPLETE, SAFE, LAWFUL, AVAILABLE, REVERSIBLE OR SUITABLE FOR YOUR PURPOSE; THAT A TASK WILL ACHIEVE YOUR INTENDED OUTCOME; OR THAT MAUI WILL IDENTIFY EVERY CONSEQUENTIAL, DUPLICATE, FRAUDULENT OR UNAUTHORIZED ACTION.
NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM SPEECHIFY OR THROUGH MAUI, INCLUDING ANY OUTPUT, APPROVAL CARD OR STATUS, CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
Speechify is not responsible for a third party’s goods, services, content, terms, data, security or conduct. This does not limit responsibility Speechify has under mandatory law for its own service or representations.
29 Limitation of liability
Liability Speechify does not limit
Nothing in these Terms limits or excludes Speechify’s liability for fraud, fraudulent misrepresentation or willful misconduct, or any other liability that cannot be limited or excluded under the law that applies to you, including, where that law so requires, liability for gross negligence or for death or personal injury caused by negligence.
Business Users and Consumers
For Sections 29 and 30, you are a Business User if you accept these Terms on behalf of an organization, pay with an organization’s payment method, or use Maui primarily for a trade, business, craft or profession. Otherwise you are a Consumer. Where the mandatory law of your country of residence determines Consumer status differently, that law controls.
All users except where a jurisdiction-specific subsection applies
This subsection applies to every Business User in every jurisdiction, and to every Consumer except to the extent a jurisdiction-specific subsection below applies to that Consumer.
(a) TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SPEECHIFY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, LICENSORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, SAVINGS, OPPORTUNITY, GOODWILL OR DATA, OR THE COST OF SUBSTITUTE SERVICES, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED THAT SUCH LOSS MAY OCCUR.
(b) TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SPEECHIFY IS NOT LIABLE FOR ANY LOSS ARISING FROM: (i) AN AGENTIC ACTION TAKEN UNDER YOUR INSTRUCTIONS, PERMISSIONS, APPROVALS, APPROVAL LEVEL, CUSTOM RULES, SCHEDULES OR AUTOMATIONS; (ii) ANY FAILURE OF MAUI’S APPROVAL, CLASSIFICATION OR SAFETY CONTROLS TO IDENTIFY, HOLD, PAUSE, RECORD OR ACCURATELY DESCRIBE AN ACTION, INCLUDING A PURCHASE, PAYMENT, COMMUNICATION, PUBLICATION, DELETION OR ACCEPTANCE OF THIRD-PARTY TERMS; (iii) THE ACTS, OMISSIONS, CONTENT, TERMS, SECURITY OR AVAILABILITY OF ANY CONNECTED SERVICE, WEBSITE, MERCHANT, AI-MODEL PROVIDER OR OTHER THIRD PARTY; (iv) CONTENT, CODE OR INSTRUCTIONS FROM A THIRD-PARTY SOURCE, INCLUDING PROMPT INJECTION OR MALWARE; OR (v) RELIANCE ON ANY OUTPUT WITHOUT INDEPENDENT VERIFICATION.
(c) TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SPEECHIFY’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO MAUI OR THESE TERMS, UNDER ANY THEORY, INCLUDING CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY AND STATUTE, WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS YOU PAID SPEECHIFY FOR MAUI IN THE 12 MONTHS BEFORE THE EVENT FIRST GIVING RISE TO LIABILITY AND (ii) US$100.
(d) If you are dissatisfied with Maui, your sole and exclusive remedy is to stop using Maui and cancel any subscription, without affecting any refund required by Section 6 or applicable law.
(e) These exclusions and limits apply even if a limited remedy fails of its essential purpose, benefit Speechify’s affiliates, officers, employees, agents, licensors and service providers, and are an essential basis of the bargain reflected in Maui’s price and in the availability of free access. Each is separate and severable: if one is held unenforceable for a particular claim or jurisdiction, the others continue to apply.
Consumers in Switzerland
If you are a Consumer habitually resident in Switzerland, paragraphs (a) to (e) above do not apply, and instead Speechify is liable only for intent and gross negligence, for injury to life, body or health, and as otherwise required by mandatory Swiss law. Liability for slight negligence is excluded to the extent Article 100 of the Swiss Code of Obligations permits.
Consumers in Australia
If you are a consumer under the Australian Consumer Law, Maui comes with guarantees that cannot be excluded under that law, and nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy under it that cannot lawfully be excluded. Where Maui is not of a kind ordinarily acquired for personal, domestic or household use or consumption, Speechify’s liability for failure to comply with a consumer guarantee is limited, at Speechify’s option, to supplying the services again or paying the cost of having them supplied again. Subject to this paragraph, paragraphs (a) to (e) above apply to the extent the Australian Consumer Law permits.
Consumers in Brazil and Quebec
If you are a Consumer resident in Brazil or in Quebec, paragraphs (a) to (e) above do not apply to the extent the Brazilian Consumer Defense Code or the Quebec Consumer Protection Act prohibits them.
30 Indemnity
Business Users
If you are a Business User, you will defend, indemnify and hold harmless Speechify and its affiliates, officers, employees, agents, licensors and service providers from and against all third-party claims, and all resulting damages, liabilities, penalties, fines, settlements, costs and reasonable legal fees, arising from or relating to: your User Content, instructions, permissions or Agentic Actions; your lack of authority over an Account, Connected Service, payment method or organization; your use of Maui or any Output; your violation of these Terms or applicable law; or your infringement or violation of another person’s rights. This obligation applies even if the claim alleges that Speechify was negligent, except to the extent the claim is caused by Speechify’s fraud, willful misconduct or gross negligence.
Consumers
If you are a Consumer, other than a Consumer habitually resident in the European Economic Area, Switzerland, the United Kingdom, Australia, Brazil or Quebec, you will defend, indemnify and hold harmless the same persons from and against third-party claims, and resulting damages, liabilities, costs and reasonable legal fees, to the extent arising from your violation of these Terms or applicable law, your User Content, Agentic Actions taken under your instructions, or your infringement or violation of another person’s rights. This obligation does not apply to the extent the claim is caused by Speechify’s fraud, willful misconduct or gross negligence.
Procedure
Speechify will notify you of a claim within a reasonable time, but a delay relieves you of your obligations only to the extent it materially prejudices you. Speechify may control the defense and settlement of any claim with counsel of its choice, in which case you will cooperate and reimburse Speechify’s reasonable costs, or may require you to assume the defense with counsel reasonably acceptable to Speechify. You may not settle a claim without Speechify’s prior written consent if the settlement would impose any obligation on Speechify or admit fault on its behalf.
31 In case of problems and disagreements
Subject to Section 29, these Terms and applicable law may give you remedies if Maui does not work as promised. If you experience a billing problem, technical failure, loss of access, unintended action or other service issue, contact support@usemaui.ai and provide enough information to identify the Account, purchase and problem. Depending on the circumstances and applicable law, Speechify may restore access, correct or repeat the affected service, provide Credits, reduce the price, cancel the affected service or issue a refund.
Consumers in Canada and Brazil retain mandatory statutory warranties, guarantees and remedies.
Submitting a complaint does not prevent you from using a court, regulator, consumer-protection authority, small-claims process or other forum available under mandatory law.
Informal resolution
Before starting United States Consumer arbitration or Business User litigation, other than an eligible small-claims action or a request for urgent relief, the claimant must send a personally signed notice to the other party to the extent permitted by applicable law.
A notice to Speechify must be emailed to legal@speechify.com and identify the claimant and relevant Account, describe the dispute and requested relief, and include information reasonably sufficient to evaluate the claim. Speechify may send a notice to the contact information associated with the Account. The parties will try in good faith to resolve the dispute for 30 days after receipt. Applicable limitation periods are tolled during that period. Either party may act sooner to preserve a legal right or seek urgent relief.
For a Consumer outside the United States, this informal process is voluntary where mandatory law permits the Consumer to proceed directly to a court, regulator, consumer-protection authority or other redress body.
Consumers outside the United States
If you are a Consumer outside the United States, these Terms do not deprive you of the mandatory protections of your country, state or province of residence. You may bring a dispute in any court or forum available under those laws. Subject to those rights, Florida law governs without regard to conflict-of-law principles.
United States Consumer arbitration
If you are a Consumer resident in the United States, you and Speechify agree that a dispute arising from or relating to Maui or these Terms will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules then in effect, as modified by this section. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.
ARBITRATION MEANS THAT A NEUTRAL ARBITRATOR, NOT A JUDGE OR JURY, WILL DECIDE THE DISPUTE. YOU AND SPEECHIFY WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE ACTION TO THE EXTENT PERMITTED BY APPLICABLE LAW.
The arbitrator has authority to decide issues concerning the scope, interpretation and enforceability of this arbitration agreement, except that a court will decide any issue concerning the class or representative-action waiver. The arbitrator may award any individual remedy available in court, including declaratory or injunctive relief where permitted by law, but may not award relief for a person who is not a party.
The arbitration may take place by documents, telephone, video or an in-person hearing in the county where you live, unless you and Speechify agree otherwise. Fees will be allocated under the AAA Consumer Arbitration Rules, but Speechify will pay amounts it is required to pay for this arbitration agreement to be enforceable. Each party bears its own legal fees unless applicable law or the arbitrator permits an award.
Exceptions
Either party may bring an individual claim in a court of competent jurisdiction that qualifies as small claims. Either party may seek temporary or preliminary injunctive relief in court to prevent actual or threatened infringement, misappropriation or unauthorized use of intellectual property, privacy, data or account access, without waiving arbitration of the remaining dispute. A request for public injunctive relief will be handled in the forum required by applicable law.
Arbitration opt-out
You may opt out of United States Consumer arbitration by emailing legal@speechify.com within 30 days after you first accept these Terms. The notice must include your name, the email address associated with your Maui Account and an unambiguous statement that you opt out of arbitration. Opting out does not affect the remainder of these Terms or adversely affect your use of Maui.
Future arbitration changes
If Speechify makes a material change to this arbitration agreement after you accepted it, you may reject that change by emailing legal@speechify.com within 30 days after the change takes effect. Rejecting the change does not revoke a prior arbitration agreement; the version in effect immediately before the rejected change will continue to govern to the extent permitted by law.
Business Users and nonarbitrable claims
For a Business User, and for a United States claim not subject to Consumer arbitration, these Terms are governed by Florida law without regard to conflict-of-law principles. The state and federal courts located in Miami-Dade County, Florida have exclusive jurisdiction, and each party waives a jury trial to the extent permitted by law. Either party may seek urgent injunctive relief in another court with jurisdiction.
TO THE FULLEST EXTENT PERMITTED BY LAW, EACH BUSINESS USER AND SPEECHIFY AGREE THAT ANY PROCEEDING TO RESOLVE A DISPUTE ARISING FROM OR RELATING TO MAUI OR THESE TERMS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE ACTION. No court or other forum may consolidate the claims of more than one Business User or preside over any form of class, collective or representative proceeding involving a Business User. This waiver applies in every court or forum, inside or outside the United States. If it is held unenforceable as to a particular claim, that claim may proceed only in the courts identified above, and the waiver remains effective as to every other claim.
If part of this dispute section is unenforceable, it will be severed to the minimum extent necessary, except that if the Consumer class or representative-action waiver is unenforceable as to a particular claim, the agreement to arbitrate that claim will not apply. This section survives termination of these Terms.
32 Changes, notices and miscellaneous
Changes to these Terms
Speechify may update these Terms to reflect changes to Maui, law, safety, security or business operations. Speechify will post the revised Terms with a new last-updated date and provide any notice or renewed consent required by applicable law. For a material change that is not legally required to take effect immediately, Speechify will use reasonable efforts to provide advance notice by email, in-product message or another method reasonably calculated to reach you.
A material change applies from the date stated in the notice. If you do not agree, you may stop using Maui and cancel a paid subscription before the change takes effect. Continued use after the effective date constitutes acceptance only to the extent permitted by applicable law. Changes to arbitration are also subject to the rejection right in Section 31.
Electronic communications and notices
You agree that Speechify may provide agreements, confirmations, disclosures and notices electronically by email, through Maui or through your Account, to the extent permitted by law. Keep your contact information current. You may retain electronic communications by downloading or printing them and may request an accessible copy from support@usemaui.ai.
A legal notice to Speechify must be sent to the address in Section 33 and copied to legal@speechify.com unless these Terms specify another method. A copyright notice must use the contact in Section 26. Notices to you may be sent to the email address associated with the Account or delivered in Maui.
Miscellaneous
These Terms, the Maui Privacy Policy and any applicable Order or signed agreement form the entire agreement about Maui and replace prior discussions or understandings on that subject. If a provision is unenforceable, it will be modified or severed to the minimum extent necessary, and the remaining provisions will continue in effect.
Speechify’s failure to enforce a provision is not a waiver. You may not assign these Terms without Speechify’s consent, except as mandatory law permits. Speechify may assign them in connection with a merger, acquisition, corporate reorganization or sale of relevant assets, subject to applicable law and continued protection of Consumer rights. These Terms do not create a partnership, joint venture, employment or franchise relationship.
Headings are for convenience only. “Including” means including without limitation. If these Terms are translated, the English version controls to the extent permitted by law, but this does not limit a Consumer’s right to receive legally required information in another language. For users in Quebec, the French and English versions are equally authoritative.
